Acceptance of Terms
By accessing or using the Enablere website (the "Site") or any services provided by Enablere, a Delaware corporation ("Enablere", "we", or "us"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Site or Services.
Description of Services
Enablere provides a platform for connecting early-stage tech and data-driven startups with potential investors. We offer a combination of:
- Micro-funding: Providing pre-seed and seed funding up to $100K to select Startups.
- Operational Support & Strategic Guidance: Offering hands-on assistance and expert advice in areas such as product development, marketing, sales, finance, and operations.
- Potential Operator Role: In certain circumstances, and upon mutual agreement with the Startup, Enablere may assume operational control of the Startup ("Operator Role").
We also provide a curated portfolio of investment opportunities for accredited Investors.

Startup Applications and Due Diligence
- Startups seeking funding will be provided with the necessary application materials and instructions upon contacting Enablere.
- Enablere will conduct due diligence on all applications, including background checks, financial analysis, and technology assessments.
- Enablere reserves the right to reject any application for any reason.
Investment Terms
- Enablere may invest in Startups through a variety of instruments, including equity, convertible notes, or other forms of financing.
- The specific terms of any investment will be negotiated between Enablere and the Startup on a case-by-case basis and documented in a separate agreement.
- All investments are subject to Enablere's investment criteria and due diligence process.
Co-Building and Operational Support
- Enablere provides operational support and strategic guidance to its portfolio companies, including assistance with product development, marketing, sales, finance, and operations.
- In certain circumstances, and upon mutual agreement with the Startup, Enablere may assume operational control of the Startup ("Operator Role"). The specifics of the Operator Role, including responsibilities, compensation, and duration, will be detailed in a separate agreement between Enablere and the Startup.
Intellectual Property
- Startups retain ownership of all their intellectual property.
- Enablere may require certain licenses or rights to intellectual property as part of its investment or partnership agreements, including in cases where Enablere assumes the Operator Role. The specifics will be outlined in separate agreements.
Confidentiality
- You may have access to confidential information through interactions with Enablere or the Site. You agree to keep such information confidential and not to disclose it to any third party without Enablere's prior written consent.
User Conduct
- You agree to use the Site and Services only for lawful purposes and in accordance with these Terms.
- Prohibited conduct includes, but is not limited to:
- Violating any applicable laws or regulations
- Transmitting harmful or malicious content
- Impersonating any person or entity
- Interfering with the proper functioning of the Site or Services
Disclaimer of Warranties
- The Site and Services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied.
- Enablere disclaims all warranties, including but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the fullest extent permitted by law, Enablere shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Site or Services.
Indemnification
You agree to indemnify and hold Enablere harmless from any claims, damages, or expenses arising out of your use of the Site or Services or your violation of these Terms.
Termination
Enablere may terminate or suspend your access to the Site or Services at any time for any reason.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware.
Dispute Resolution
Any disputes arising out of or relating to these Terms or the Site or Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Miscellaneous Provisions
- These Terms constitute the entire agreement between you and Enablere regarding the Site and Services.
- If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
